Connectoone buys Greater Hudson Bank in $76.3M deals
Greater Hudson Bank of New York will become part of ConnectOne Bank under a $76.3 million mergers contract on Thursday. ConnectOne Bancorp Inc., Englewood Cliffs, ConnectOne's holding company, and Greater Hudson Bank have entered into a final arrangement for an all-stock operation that will support ConnectOne's growth in the state of New York. Pursuant to the Understanding, each Greater Hudson ordinary shares in circulation will be converted into 0.245 shares of ConnectOne ordinary shares.
This transaction is worth $76.3 million, as compared to ConnectOne's Wednesday close. ConnectOne, who said it recently created New York plants, said the agreement will accelerate expansion plans in Rockland, Orange and Westchester County with a presence there. Connect-One also said the transaction expands its commercial and industry lending skills, adds skilled financiers and establishes a small businesses management line of businesses.
"Greater Hudson is a powerful ConnectOne partner in strategy, enabling the firm to develop a range in the Hudson Valley area, adding prestigious, talent banking, creating an SBA division and further improving our C&I credit opportunities," said Sorrentino. Mr. Piper Jaffray & Co. was the Chief Advisor to ConnectOne, Diapers Marx Lane & Mittendorf.
Keefe, Bruyette & Woods Inc. was the Chief Advisor to Greater Hudson and Hogan Lovells US LLP.
